Important update on company types

Under amendments to Bahrain's Commercial Companies Law (Legislative Decree No. 21 of 2001, as amended by Legislative Decree No. 28 of 2020), the separate "Single Person Company (SPC)" form was repealed and merged into the "With Limited Liability (WLL)" company. A WLL may now be owned by one or more shareholders, and companies that were formerly registered as "SPC" have been updated by the Ministry of Industry and Commerce so their commercial name ends in "WLL".

The most common structures today include the With Limited Liability Company (WLL), Bahrain Shareholding Company (BSC – public or closed), General and Limited Partnerships, and branches of foreign companies. The right structure depends on your activity, ownership, and goals - we advise you on the best fit before registration.

FAQ

Frequently Asked Questions

Common questions about setting up a business in Bahrain

Many service and manufacturing activities allow full foreign ownership without a local partner. However, certain activities - particularly some trade, import and export activities - require a level of Bahraini, GCC or eligible ownership. The rules depend on the specific activity you select, so we confirm eligibility for your case before proceeding.
SIJILAT is the official online commercial registration portal operated by the Ministry of Industry and Commerce (MOIC). It is the single platform used to reserve a company name, register a company, obtain licenses, and manage your Commercial Registration (CR).
A reserved commercial name through SIJILAT is valid for a limited period and must be unique and compliant with MOIC naming guidelines. Arabic names are required; an English translation is optional. We handle the reservation and naming checks on your behalf.
Yes - registration requires proof of a registered address in Bahrain, typically a lease agreement. The specific address and premises requirements can vary depending on your business activity.
Documents are generally accepted in Arabic or English. However, documents that need to be notarized in Bahrain must be in Arabic - the Memorandum and Articles of Association, for example, are prepared in Arabic and notarized.
Government fees, any capital requirements, and timelines depend on your company type, business activity, and required approvals. Rather than quote a figure that may not apply to your situation, we provide an accurate cost and timeline estimate after a short consultation. Contact us for a quote.
